Either party may terminate for any reason for material breach uncured after 30 days' notice.

ClauseSpark · §3.2 termination

Termination-at-will accepted by counterparty 4× in last 12 months but flagged in playbook §4.1. Suggested fallback to material-breach standard.

How Redline works

From third-party draft to your-style markup. In one minute.

Redline is built on a model fine-tuned for contract editing — not a wrapper around a generic chatbot. It produces tracked changes the same way an attorney would, with the same conventions and the same care.

01

Upload

Drop in a .docx, PDF, or paste text from email. Redline extracts the structure — sections, clauses, defined terms.

02

Mark up

Each clause is compared to your playbook. Redline produces tracked deletions and insertions, with a comment on every edit pointing to the playbook section.

03

Review & send

Open in Word with tracked changes preserved, or use our collaborative browser editor. Approve, push back, send.

What Redline does

Production-grade redlining, not a glorified chatbot.

Tracked changes that round-trip

.docx in, .docx out, with insertions and deletions Word recognises. No formatting damage.

Comments on every edit

Each edit ships with a 1-sentence rationale that references your playbook clause and prior precedent.

House-style consistency

Defined terms, oxford commas, "shall" vs "will", capitalisation — all match your style guide.

Fallback positions

Define preferred + fallback positions. Redline picks the right one based on counterparty leverage.

Defined-term integrity

Reorders edits to keep defined-term references valid across the document.

Cross-reference repair

Edits that move clauses also fix the §X.Y references that point to them.

Collaborative editor

Multiple reviewers in real time. Threaded comments. Suggestions you can accept or reject.

Word & Google Docs round-trip

Edit in our browser, or download to Word, or paste back to Google Docs. Tracked changes survive all three.

Audit trail

Every accepted edit, every comment, every reviewer — logged. Defensible at deposition.

Example output

Real edits. Real rationale.

This is what Redline produces on a vendor-favourable MSA. Names changed; everything else is verbatim from a customer engagement.

Vendor draft

9.1 Provider's aggregate liability for any claim arising under this Agreement shall not exceed the fees paid by Customer in the 6 months preceding the claim.

11.3 Customer shall indemnify Provider against any and all claims, losses, and damages of any kind arising from Customer's use of the Services.

13.2 This Agreement shall automatically renew for successive 12-month terms unless either party gives notice 90 days prior to renewal.

Redline output

9.1 Provider's aggregate liability for any claim arising under this Agreement shall not exceed the fees paid by Customer in the 6 12 months preceding the claim, except for breach of confidentiality, IP indemnification, and gross negligence, which shall not be capped.

11.3 Customer shall indemnify Provider against any and all claims, losses, and damages of any kind arising from Customer's use of the Services. 11.3 Each party shall indemnify the other against third-party claims arising from the indemnifying party's gross negligence or willful misconduct, subject to the limitations in §9.

13.2 This Agreement shall automatically renew for successive 12-month terms unless either party gives notice 90 days prior to renewal terminate at the end of the Initial Term unless renewed by mutual written agreement.

3 edits applied · Rationale: §9 cap raised to 12mo + carve-outs (playbook §2.1); §11.3 indemnity made mutual (playbook §3.4); §13.2 auto-renewal removed (playbook §5.2).

FAQ

Common questions

Does the output really open in Word with tracked changes?
Yes. Native .docx with insertions and deletions Word recognises. We test against Word 2016, Word 365, and LibreOffice on every release.
Will Redline make up clauses that don't exist?
Hallucination is the central problem in legal AI, and we treat it as the central engineering problem. Redline only proposes edits that map back to a playbook position; it cites the playbook clause for every edit; it refuses to edit text it can't classify with high confidence (and tells you which sections those are).
How long is the learning curve?
Most attorneys are productive within their first contract. Redline produces a draft; you accept, reject, or refine. The interface is the same one Word users have known for 25 years.
Can I use it on existing contracts in our archive?
Yes — pair it with Sentinel to redline against your standards retroactively. Useful for renegotiations and renewals.
Does Redline work for non-English contracts?
English, French, German, Spanish, Portuguese, and Japanese in production. Italian, Dutch, and Polish in beta.
Is my data used for training?
Never. Contractually prohibited. Your contracts and edits are stored encrypted, used only to serve you, and deleted on request.
